Director compensation can potentially represent an ethical minefield. When faced with supporting strategic decisions that can lead to an increase in director pay, directors may consider their own interests and not solely those of the shareholders to whom they are legally bound to represent. In such cases, directors essentially become agents, rather than those installed to protect principals (shareholders) from agents. Using acquisitions as a study context, we employ a matched-pair design and find a statistically significant difference in outside director (...) compensation between acquiring and control firms. Outside directors of acquiring firms earn more than twice as much as their counterparts in the matched-sample. (shrink)

Abstract:While a ubiquitous phenomenon, initial public offerings (IPOs) have received no attention in the ethics literature. We provide an overview of a series of potential conflicts of interest that pervade the IPO process. We also report the results of an empirical assessment of IPOs and those elements that may inform a substantive moral hazard faced by key players in the period prior to and just after an IPO.

Este artigo é uma tentativa de mostrar, a partir de Gadamer, que o Mito está em estreita relação dialética com o Logos e que a compreensão de ambos pertence a um mesmo movimento circular e hermenêutico, que conecta os conceitos de indeterminado e determinada, incerto e certo, infinitude e finitude.

A Metafísica de Verney propõe-se sobretudo analisar, numa perspetiva empirista, certos conceitos da metafísica tradicional. Aquela perspetiva está presente, por exemplo, na conceção da essência real: esta não é o conjunto de notas fixas manifestadas pela definição, mas o conjunto de todos os atributos concretos dos entes, pelo que a essência real nos é desconhecida; apenas podemos ter conhecimento da essência nominal ou metafísica, ou da que percebemos pela palavra com que significamos uma coisa. Mas as palavras possuem para nós (...) uma significação que é dependente das nossas possibilidades de conhecer. Deste modo, a essência nominal inclui apenas um conjunto de ideias mais conhecidas que supomos constituírem a essência real, conjunto esse que as palavras nos dão a conhecer em função da nossa experiência; mas, sendo esta experiência variável, o conjunto de ideias que ela nos possibilita pode “diminuir ou aumentar”, podendo, por isso, variar a essência metafísica. Esta doutrina de cariz empirista de Verney aparece associada na sua obra a uma crítica contundente da metafísica escolástica e, por outro lado, a uma exaltação das propostas filosóficas dos “modernos”, em particular no domínio da filosofia natural. E isso é realizado através de uma expressão latina muitas vezes elegante, o que significa que o nosso autor se propôs imitar os bons modelos da Antiguidade. (shrink)

Aliás, das inúmeras qualidades do trabalho, talvez possa destacar a abordagem inovadora e corajosa como a que mais me chamou a atenção. Há algum tempo venho me manifestando no sentido da necessidade de uma maior integração entre o processo civil e as outras ciências que tangenciam o Direito. É certo que já houve grande evolução em nossa disciplina, desde a concretização dos Movimentos de Acesso à Justiça e da aceitação uniforme dos conceitos de Processo Justo, Garantias Fundamentais e, sobretudo, (...) de um Processo Civil Constitucionalizado. Ocorre que os problemas da atualidade vêm demonstrando ser necessário um nível ainda maior de interdisciplinaridade, extrapolando os limites do Direito e ingressando em ciências conexas como a filosofia, a sociologia, a psicanálise e a ciência política. (...) Nessa linha de raciocínio, trabalhos como este, de autoria do Roberto Darós, trazem uma inestimável contribuição a essa nada fácil tarefa. Dialogar com a filosofia, a partir dos conceitos mais relevantes cunhados por dois dos maiores filósofos do mundo moderno - Habermas e Dworkin - já seria um trabalho árduo. Identificar os pontos de interseção entre o direito processual civil e a filosofia, a partir das obras desses Mestres, e trazer conclusões concretas para as questões do Estado Democrático de Direito, é realmente algo corajoso. Recent studies have shown that Nicola Salvi the architect of the Trevi Fountain intended to present the “potenza non limitata” of water as an existential element of nature, focusing the whole appearance of the fountain on the person in the center, Oceanus. But Salvi’s principal, pope Clement XII., claimed in his other projects such as the restoration of the arch of Constantine or like the new eastern fascade of S. Giovanni in Laterano, which refer especially to Constantine, like this emperor (...) the leader of Christianity. Thus Salvi’s philosophical purpose seems not to be in line with to the intentions of the pope. But how could Salvi convince the pope let him build the prestigious fountain? This paper tries to show that Salvi’s model was influenced by the epiphanies of Neptun or Poseidon in the first book of the Achilleis of Statius and in the 13th book of the Iliad. Transferring these on the epiphany of Oceanus in the Trevi Fountain, Salvi was able to combine his thoughts about the power of water with the metaphorical presentation of a universal ruler, as the pope wanted to present himself. L’argument qui doit soutenir cette affirma- tion peut être schématisé de la façon suivante : Descartes ne peut introduire (...) un indice temporel dans la certitude de la proposition Je suis, j’existe que s’il accepte que la compréhension de cette proposition enveloppe la possibilité de l’existence d’autres choses pensantes finies, ce qui contredit l’unes des conditions de la conception d’une chose comme substance, telles que lui-même les a définies dans l’article 60 de la première partie des Principes de la Philosophie. But important though these skills are, they do not encompass all of what people know or the ways in which what they know. Como posso estar certo de que existe qualquer coisa de externa aos meus próprios pensamentos? Muitos filósofos procuraram ou apresentar uma prova da existência do mundo externo, ou rejeitar a inteligibilidade da própria ideia de uma “prova” nesse contexto. O objetivo desse artigo é mostrar que o denominado “problema do mundo externo” decorre de uma má compreensão acerca do que seja justificativa epistêmica. Apresento o que denomino “paradoxo de Berkeley” de modo a mostrar que o uso ordinário da linguagem (...) não deve funcionar como critério de correção para a aplicação de conceitos como conhecimento e existência. Concluo que tanto as tentativas tradicionais de se apresentar uma prova da existência do mundo externo quanto as tentativas de se mostrar que o problema não faz sentido são equivocadas. O que deve ser levado em conta no exame do problema do mundo externo é o contexto em que a proposta cética é feita. (shrink)

: C.S. Peirce is infamous for his assertion that the ideas of truth and belief are out of place in vital or ethical matters. We must go on instinct and custom. But he also asserts that his view of truth is applicable to ethics - a true belief about what is right or wrong is the belief that would stand up to all deliberation, experience and argument. I shall resolve this tension in Peirce's work in favor of the cognitivist reading. (...) That is, I shall argue that Peirce presents us with an attractive view of truth which makes sense of the thought that our moral judgements aspire to truth.Key-words: truth, inquiry, Experience, belief, ethics.Resumo: C.S. Peirce é famoso por sua afirmação de que as idéias de verdade e crença não se relacionam a questões vitais ou éticas. Devemos contar com o instinto e o costume. Eu solucionarei essa tensão na obra de Peirce em favor da leitura cognitivista. Hume seems to tell us that our ideas are copies of our corresponding impres-sions, that we have an idea of necessary connection, but that we have no corresponding impression, since nothing can be known to be really necessarily connected. The paper considers two ways of reinterpreting the doctrine of the origins of ideas so as to avoid the apparent inconsistency. If we see the doctrine as concerned primarily with establishing conditions under which we possess an idea, there is no need (...) for an idea’s “corresponding” impression to be one of which the idea is true. It would be enough that the impression be in some way appropriate for making us master of the idea. Alternatively, if we see the doctrine as concerned primarily with fixing the content of ideas, we might see it operating in the case of causation rather as it must in the case of secondary qualities, conceived in a certain distinctive way. Even if there is “really” no red in the objects , we may regard the idea of red as properly ascribed to any object apt to cause typical sensations in us . Likewise, we may regard the idea of necessary connection as properly ascribed to any pair of objects apt to cause typical habits in us . This view may do justice to Hume’s wish to affirm both that there is such a thing as necessity, resident in the mind, and that there are no knowable necessary connections.Hume parece nos dizer que nossas idéias são cópias de nossas impressões correspondentes, que temos uma idéia de conexão necessária, mas que não temos nenhuma impressão correspondente, visto que nada pode ser conhecido como estando realmente conectado necessariamente. O artigo considera dois modos de se reinterpretar a doutrina das origens das idéias de forma a evitar a aparente inconsistência. Se interpretarmos a doutrina como dizendo respeito fundamentalmente ao estabelecimento das condições sob as quais possuímos uma idéia, não há nenhuma necessidade de uma impressão “correspondente” da idéia ser aquela da qual a idéia é verdadeira. Seria suficiente que a impressão fosse, de alguma maneira, apropriada para que apreendêssemos a idéia. Caso contrário, se interpretarmos a doutrina como interessada fundamentalmente em fixar o conteúdo das idéias, poderíamos ver isto como operando no caso de causação mais propriamente que no caso de qualidades secundárias, concebido de certo modo característico. Mesmo que “realmente” não exista vermelho nos objetos , nós podemos considerar a idéia de vermelho como bem aplicada a qualquer objeto capaz de causar sensações típicas em nós . Igualmente, podemos considerar a idéia de conexão necessária como bem aplicada a qualquer par de objetos apropriado para nos causar hábitos típicos . Esta visão pode fazer justiça à intenção de Hume de afirmar tanto que há tal coisa como necessidade, residente na mente, como que não há nenhuma relação necessária que se possa conhecer. (shrink)

Many books explain what is known about the universe. This book investigates what cannot be known. Rather than exploring the amazing facts that science, mathematics, and reason have revealed to us, this work studies what science, mathematics, and reason tell us cannot be revealed. In The Outer Limits of Reason, Noson Yanofsky considers what cannot be predicted, described, or known, and what will never be understood. He discusses the limitations of computers, physics, logic, and our own thought processes. Yanofsky describes (...) simple tasks that would take computers trillions of centuries to complete and other problems that computers can never solve; perfectly formed English sentences that make no sense; different levels of infinity; the bizarre world of the quantum; the relevance of relativity theory; the causes of chaos theory; math problems that cannot be solved by normal means; and statements that are true but cannot be proven. He explains the limitations of our intuitions about the world -- our ideas about space, time, and motion, and the complex relationship between the knower and the known. Moving from the concrete to the abstract, from problems of everyday language to straightforward philosophical questions to the formalities of physics and mathematics, Yanofsky demonstrates a myriad of unsolvable problems and paradoxes. Exploring the various limitations of our knowledge, he shows that many of these limitations have a similar pattern and that by investigating these patterns, we can better understand the structure and limitations of reason itself. RESUMO Neste ensaio analiso as diferentes modalidades de pensamento que ocorrem entre a filosofia e as imagens em movimento partindo da distinção metafilosófica elaborada por Gilles Deleuze entre “pensar” e “filosofar”. Esta é uma distinção fundamental para a possível elaboração de uma filosofia do cinema, ou, pelo menos, para afirmar que “o cinema filosofa”, uma tese atualmente imersa num certo equívoco. Neste sentido, como possível resolução para tal mal-entendido, sugiro uma adequada designação deleuziana de “pensar com conceitos” e “pensar (...) com imagens”, num processo recíproco fundamental entre o campo filosófico e o não filosófico das artes. Começando com uma introdução à noologia em Deleuze e uma descrição dessas ideias e do seu valor estético, prossigo com uma análise mais detalhada sobre imagens em movimento, metáforas e adaptação cinematográfica de modo a, dentro de uma abordagem pós-continental e pós-analítica, questionar se o cinema filosofa. ABSTRACT In this essay I analyse the different modalities of thought that occur between philosophy and moving images, beginning with Gilles Deleuze’s metaphilosophical distinction between “thinking” and “philosophizing”. This is an essential distinction for the possible elaboration of a film philosophy, or at least one which claims that “film philosophizes,” a thesis that is nowadays immerged in a certain misconstruction. In this sense, I suggest, as a conceivable resolution to this misunderstanding, a more proper Deleuzian designation of “thinking with concepts” and “thinking with images,” in a fundamental reciprocal process between the philosophical and non-philosophical fields of the arts. Starting with an introduction to Deleuze’s noology and a description of these ideas and their aesthetic value, I proceed with a closer analysis of moving images, metaphors, and film adaptation in order to question, within a post-continental-analytic approach, whether film philosophizes. Com base na situação de exigência de talentos na sociedade feudal, Zhu Xi tomou a ortodoxia confucionista como ponto de partida para fazer tentativas inovadoras em métodos educacionais e conteúdos de ensino. Ele acreditava que o conhecimento de objetos é uma maneira importante de adquirir conhecimento. Ao aprender com os recursos ideológicos da filosofia educacional chinesa e não chinesa antiga e moderna, integrando ideias filosóficas antigas com o método de ensino moderno, este artigo oferece algumas ideias inovadoras importantes para os modelos contemporâneos de educação. Study of Hans-Georg Gadamer's and Julius Stenzel's interpretations of Plato.

I rapporti annuali su Gli italiani e lo stato, coordinati da Ilvo Diamanti, continuano a rilevare che i cittadini sono impegnati negli associazionismi ma disincantati dalla politica. Con le tipiche differenze nelle diverse aree del paese e a seconda del livello istituzionale, accanto alla sfiducia verso le istituzioni pubbliche c’è una propensione alla partecipazione. Come mostrano la diffusione delle primarie e le esperienze di democrazia partecipativa che si moltiplicano a livello locale, si riscontra, infatti, una disponibilità a sperimentare forme di (...) coinvolgimento differenti rispetto alla militanza politica che possono costituire un utile complemento della democrazia rappresentativa e degli strumenti di democrazia diretta. La partecipazione non solo richiede la possibilità legale di votare ma anche un contesto sociale che induca effettivamente il popolo a votare e ad esprimere i propri punti di vista elevando il livello di informazione e il confronto su argomenti alternativi, cercando di evitare nelle controversie pubbliche le valutazioni puramente opportunistiche o emotive. L’interesse qui si rivolge verso il “sondaggio deliberativo” di James S. Fishkin, una procedura molto diversa dal sondaggio d’opinione poiché rovescia la logica demoscopica. Le persone sondate dagli istituti di ricerca a volte non hanno indicazioni adeguate sul tema; altrettanto spesso non ci hanno riflettuto e non hanno confrontato le proprie preferenze, scelte o credenze con gli argomenti in contrasto in una libera e approfondita discussione. Renato Mannheimer, presidente dell’Istituto per gli studi sulla pubblica opinione (Ispo) è d’accordo con l’affermazione secondo cui le persone rispondono anche su ciò che non conoscono e, a suo parere, il problema si fa ancora più evidente a ridosso delle elezioni. Oggi, a suo avviso, la maggior parte della gente vota non per vera convinzione, ma sulla base di impressioni acquisite dalla TV durante le ultime settimane prima del voto. I sondaggi deliberativi, invece, sono diretti a migliorare la qualità del confronto pubblico, attraverso una procedura articolata che favorisce l’informazione,la riflessione e il dibattito, a partire, ovvio, dall’idea di creare un rapporto diverso tra i sondaggi e l’opinione pubblica intenso come misurazione di come muta l’opinione dopo che le persone hanno avuto l’opportunità di diventare più competenti e di confrontare in un dialogo aperto le loro idee. Nonostante alcune riserve di ordine metodologico e taluni rischi di strumentalizzazione politica, l’esame dei sondaggi deliberativi risveglia una viva ammirazione per uno studioso riuscito a riversare la passione civile e l'impegno politico in una pratica democratica concreta alla quale ha dedicato, quasi interamente, molti anni del suo lavoro. Rimane, certo, uno strumento insufficiente a rianimare e risollevare il momento deliberativo nelle democrazie contemporanee, ma nessuno può negare che indichi a tutti la direzione giusta. (shrink)

RESUMO O artigo examina algumas influências teóricas de Freud para recuperar os valores epistemológicos que subjazem à composição de sua concepção de ciência da natureza. Se, por um lado, Freud teve acesso ao pensamento de autores específicos que participaram efetivamente dos caminhos percorridos pela psicologia em sua reivindicação de uma identidade científica, por meio de entrelaçamentos com a física e a fisiologia, por outro lado, ele também teve contato com certos filósofos que lhe permitiram uma aproximação a alguns defensores da (...) cientificidade da psicologia que não abandonam o naturalismo, nem recorrem ao solo fisiológico. Nossa avaliação histórica constituiu-se como uma defesa de que Freud sofreu diversas influências no tocante ao status da psicologia no campo das ciências da natureza. A pluralidade dessas influências evoca uma necessidade de abertura para a avaliação do modo pelo qual podemos colocar em perspectiva a epistemologia e a concepção do naturalismo de Freud. ABSTRACT This article examines some of the theoretical outlooks Freud used to acquire the epistemological values that underlie the foundation of his notion of natural science. On the one hand Freud was familiar with the ideas of specific authors, who had made major contributions that support of psychology's status as a science by appealing to physics and physiology. On the other hand, his contact with certain philosophers allowed him to use their defenses of psychology's scientific status without abandoning naturalism and without recourse to physiology. Our historical evaluation of these struggles supports that Freud was affected by various points of view concerning psychology's standing within the natural sciences. Owing to the diverse influences on Freud, we need to figure out how we can put his epistemology and his concept of naturalism into perspective. (shrink)

The phenomenon of ambivalence is an important one for any philosophy of action. Despite this importance, there is a lack of a fully satisfactory analysis of the phenomenon. Although many contemporary philosophers recognize the phenomenon, and address topics related to it, only Harry Frankfurt has given the phenomenon full treatment in the context of action theory - providing an analysis of how it relates to the structure and freedom of the will. In this paper, I develop objections to Frankfurt's account, (...) all revolving around the charge that his account contains a serious ambiguity between willing and identifying. With such objections in place, I then develop an analysis that avoids the difficulties and ambiguities that Frankfurt's analysis is prey to. I briefly distinguish ambivalence from other types of internal conflict. This paper aims to offer conceptual clarification on the phenomenon of ambivalence, which will then allow for discussions about the normative merits and demerits of ambivalence, the effects of ambivalence on autonomous action, and methods of resolution of ambivalence. The first major work in the history of philosophy to bear the title "Metaphysics" was the treatise by Aristotle that we have come to know by that name. But Aristotle himself did not use that title or even describe his field of study as 'metaphysics'; the name was evidently coined by the first century C.E. editor who assembled the treatise we know as Aristotle's Metaphysics out of various smaller selections of Aristotle's works. The title 'metaphysics' -- literally, 'after the Physics' (...) -- very likely indicated the place the topics discussed therein were intended to occupy in the philosophical curriculum. They were to be studied after the treatises dealing with nature (ta phusika). In this entry, we discuss the ideas that are developed in Aristotle's treatise. (shrink)

The notion of unconscious finds support in many experimental studies that use the dissociation method. This method allows us to distinguish between conscious and unconscious mental states when participants cannot explain why they performed as they did in an experiment. The paper will discuss the notion of unconscious by considering David R. Shanks’ criticisms of the application of the dissociation method: it will assess three studies Shanks proposes as reexaminations of three other relevant studies in the literature and show how (...) Shanks’ work provides an examination of the methodological pitfalls of such studies. The paper will argue that, although Shanks’s results are relevant regarding theories about the structure of cognition, his theoretical positions are at best confused and at worst diminish the importance of his research outcomes. It will conclude by showing why Shanks’s results that legitimize the role of consciousness in cognition can be problematic for the physicalistic or materialistic framework endorsed by cognitive psychologists. Schanks: una valutazione critica Riassunto: La nozione di inconscio trova supporto in vari studi sperimentali che utilizzano il metodo della dissociazione. Secondo la letteratura cognitivista questo metodo permette di distinguere tra stati mentali consci e inconsci quando i partecipanti non sono in grado di riportare verbalmente il perché si sono comportati in un certo modo durante l’esecuzione di un compito sperimentale. Il presente articolo discute la nozione di inconscio in relazione alle critiche di David R. Shanks all’applicazione del metodo della dissociazione. Più precisamente, esso valuta tre studi che Shanks propone come repliche e rivalutazioni di altrettante ricerche a favore della cognizione inconscia e mostra l’autore riesca con successo a metterne in luce le carenze metodologiche. Inoltre, sostiene anche che, sebbene i risultati sperimentali di Shanks siano importanti per le teorie sulla struttura della cognizione, le sue posizioni teoriche sono quantomeno confuse e rischiano di ridimensionare la portata delle sue conclusioni empiriche e metodologiche. L’articolo conclude mostrando le ragioni per cui i risultati di Shanks, che legittimano il ruolo della coscienza nella cognizione, siano controversi in quanto adottano una posizione filosofica fisicalistica o materialistica comune alla maggioranza degli psicologi cognitivi. Richard Janko's acclaimed translation of Aristotle's _Poetics_ is accompanied by the most comprehensive commentary available in English that does not presume knowledge of the original Greek. Two other unique features are Janko's translations with notes of both the _Tractatus Coislinianus_, which is argued to be a summary of the lost second book of the Poetics, and fragments of Aristotle’s dialogue On Poets, including recently discovered texts about catharsis, which appear in English for the first time.

Walter Glannon argues that our proposal for routine recovery of transplantable cadaveric organs is unacceptable After carefully reviewing his counterarguments, we conclude that, although some of them have merit, none are sufficiently strong to warrant abandoning this plan. Below we respond to each of Glannon's concerns.
